The Greater Toronto Airports Authority (GTAA) Nomination Ad Hoc Committee met on March 6, 2003, at 8:11 a.m. in the Chairman's Boardroom, Regional Administrative Headquarters, 10 Peel Centre Dr., Brampton.

2. APPROVAL OF AGENDA

RECOMMENDATION GTAA-3-2003:

That the subject of the name of the Greater Toronto Airports Authority (GTAA) Nomination Ad hoc Committee be added to the agenda for discussion;

And further, that the agenda for the March 6, 2003, GTAA Nomination Ad Hoc Committee meeting, as amended, be approved.


3. REPORT/ITEMS

a) GTAA Nomination Process for the Region of Peel

Received

Kent Gillespie, Commissioner of Corporate Services and Regional Solicitor reviewed the recent history of the Region of Peel's nominations to the GTAA Board. Regional Chair Kolb spoke to the importance, for now and in the future, of having representation on the Board from the City of Toronto and each of the four Regions in the GTAA given that each contains or is expected to contain a local airport under the coordination of the GTAA. Chair Kolb pointed to the indication from GTAA Board Members and staff at a meeting of the GTAA Nomination Ad hoc Committee on February 27, 2003 that the changes to the governance structure in their new operating by-law would be further amended to ensure that each of these municipalities is represented on the GTAA Board.

Rick Holden of the Mississauga Board of Trade asked for clarification on the status of Peel's current representatives on the GTAA Board. Kent Gillespie stated that two of the Region's three representatives will have their terms expire as of the 2003 Annual General meeting: Ron Dennis, Consumer Representative, who will not be eligible for reappointment, and Lou Parsons, "At Large" Representative, who is eligible for reappointment. The term of Bernard Wilson, Business Representative on the GTAA Board will expire in 2004. He noted that the GTAA Board is currently under transition as a result of the change in the operating by-laws, and that when Mr. Wilson's term expires in 2004 he will not be eligible for reappointment at that time. The GTAA Board will appoint one representative from Peel for a term from 2003 to 2006.


4. IN CAMERA MATTERS

a) Personal matters about an identifiable individual, including Regional employees

Kent Gillespie, Commissioner of Corporate Services and Regional Solicitor noted that candidate number 4 should be disqualified from consideration as the candidate is employed by a municipality which is located, in whole or in part, within one hundred kilometres of Lester B. Pearson International Airport (LBPIA), which contravenes the GTAA's conditions of appointment.

Members discussed whether it was necessary to put forward three nominees for one position to the GTAA Board. Chair Kolb referred to discussions with other municipal colleagues on this matter and expressed his reluctance to put forward three names for one position as it may negatively impact the response from candidates in future nominations processes and mislead potential candidates.

Kent Gillespie noted that members of the Committee should ensure that names put forward by the Region are not the same as those put forward by the Mississauga and Brampton Boards of Trade and Caledon Chamber of Commerce as this may decrease the larger pool from which the GTAA Board will choose its members and may have the overall impact of decreasing representation from Peel on the GTAA Board.

Members discussed the qualifications of candidate number 3 and the benefits to the Region of nominating candidate number 3 to the GTAA Board of Directors.

Michael Collins of the Brampton Board of Trade stated that his organization would not put forward any name already put forward for consideration by the Region.

Mayor Fennell suggested that only one name be put forward by the Region for appointment to the GTAA Board. Mayor Seglins agreed and stated that as this is a time of transition for the Board that sending only one name for consideration by the Board would be appropriate. Mr. Collins suggested that putting forward more than one nominee may indicate a degree of acceptance of the new structure that the Committee has not reached. Mayor Fennell further requested that in such a context, any communication to the GTAA should include information about the public process undertaken to find candidates for nomination.

RECOMMENDATION GTAA-4-2003:

That an in camera motion be brought forward to the March 6, 2003 Regional Council meeting nominating candidate number 3 to the GTAA Board of Directors pending the published closing date for applications;

And further, that the GTAA Ad hoc Committee seek authority from Regional Council to finalize this decision once the deadline for applications has passed and any subsequent applicants are considered;

And further, that a separate motion be brought forward to Regional Council addressing the issue of the Committee's dissatisfaction with the requirement by the GTAA Board to submit multiple nominees for consideration for appointment of one position.

Name Change for the Greater Toronto Airports Authority (GTAA) Nomination Ad hoc Committee

Councillor Saito noted that while one of the mandates of the GTAA Nomination Ad hoc Committee is to put forward names of nominees to the GTAA Board, the Committee also meets with Peel's representatives on the GTAA Board to discuss issues related to Lester B. Pearson International Airport (LBPIA). She noted that this part of the mandate of the Committee is not accurately reflected in its name.

RECOMMENDATION GTAA-5-2003:

That the terms of reference for the Greater Toronto Airports Authority (GTAA) Nomination Ad hoc Committee be amended to change the name of the GTAA Nomination Ad hoc Committee to the GTAA Liaison Committee to better reflect the purpose and mandate of the Committee.
